Any term not defined in this Agreement shall have the meaning as is commonly understood under applicable law and within the spirit of this Agreement.<\/p><p style=\"font-weight: 400;\">The Company shall provide a web based SAAS Solution consisting of the following services to enable the Creator to create its own web page, software for overall management, lead generation , payment facilitation and support services. The Website and Application are collectively referred to as &#8220;<strong>SAAS Solution<\/strong>&#8221; or\u00a0<strong>&#8220;Exly SAAS Solution&#8221;.<\/strong><\/p><p style=\"font-weight: 400;\">The &#8220;<strong>User(s)<\/strong>&#8221; or &#8220;<strong>Member(s)<\/strong>&#8221; refers to any person who registers to avail of the &#8220;<strong>Creator Services<\/strong>&#8221; on the &#8220;<strong>Creator Webpage<\/strong>&#8220;.<\/p><p style=\"font-weight: 400;\">&#8220;<strong>Creator Webpage<\/strong>&#8221; shall mean the webpage created through the SAAS Solution and dedicated to the Creator where the services\/ offerings of the Creator are curated and made available to the users by the Creator, powered by Exly.<\/p><p style=\"font-weight: 400;\">&#8220;<strong>Creator Service<\/strong>&#8221; shall mean the services or products offered on the Creator\u00a0Webpage\u00a0by the Creator to the Users.<\/p><p style=\"font-weight: 400;\"><strong>Intellectual Property Rights&#8221;\u00a0<\/strong>mean registered and unregistered rights in all forms of intellectual property subsisting under the applicable laws of all jurisdictions and shall include any legally protected product or process of the human intellect whether registrable as patents, trademarks, copyrights, designs or otherwise such as an invention, expression or literary creation, unique name, trade secret, business methods, database, industrial process, computer program, source code, process, presentation, logo, Content and ideas, and other content or confidential information.<\/p><p style=\"font-weight: 400;\"><strong>\u00a0<\/strong><strong>&#8220;Person&#8221;\u00a0<\/strong>shall mean any natural person, limited or unlimited liability company, corporation, partnership (whether limited or unlimited), proprietorship, Hindu undivided family, trust, union, association, society, co-operative society, government or any agency or political subdivision thereof, or any other entity that may be treated as a Person under applicable law.<\/p><p style=\"font-weight: 400;\">&#8220;<strong>Exly Fee<\/strong>&#8221; refers to the Fee charged by the Company or Exly for the use of the SAAS solution including but not limited to Internet handling fee which the Company may charge and amend from time to time.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b3b812c elementor-widget elementor-widget-text-editor\" data-id=\"b3b812c\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p><strong><b><span lang=\"EN-US\">2<\/span><\/b><b><span lang=\"EN-US\">.\u00a0 <\/span><\/b><b><span lang=\"EN-US\">\u00a0<\/span><\/b><u><b><span lang=\"EN-US\">REGISTRATION:<\/span><\/b><\/u><\/strong><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b9bb586 elementor-widget elementor-widget-text-editor\" data-id=\"b9bb586\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p style=\"font-weight: 400;\">The Creator shall register by following the instruction\/direction on the\u00a0SAAS Solution\u00a0and providing details such as but not limited to profile information, scheduling, type of services to be provided by Creator, bank account details<strong>\u00a0<\/strong>and such other details\u00a0<strong>( &#8220;Creator&#8221;\u00a0<\/strong>or\u00a0<strong>&#8220;You&#8221;\u00a0<\/strong>or\u00a0<strong>&#8220;Your&#8221;)\u00a0<\/strong>so as<strong>\u00a0<\/strong>to enable the Company to render its services.<\/p><p style=\"font-weight: 400;\">If You are registering an Exly account for a company or other legal entity, You represent and warrant that You have the authority to legally bind that entity and grant us all permissions and licenses provided in these Terms.\u00a0<\/p><p style=\"font-weight: 400;\">You may not assign or otherwise transfer your Exly account to another party.<\/p><p style=\"font-weight: 400;\">You must provide accurate, current and complete information during the registration process and keep the information up to date at all times.\u00a0<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3b14366 elementor-widget elementor-widget-text-editor\" data-id=\"3b14366\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p><strong><b><span lang=\"EN-US\">3<\/span><\/b><b><span lang=\"EN-US\">.\u00a0 <\/span><\/b><b><span lang=\"EN-US\"><u>GENERAL DISCLAIMER<\/u><\/span><\/b><\/strong><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4bb8681 elementor-widget elementor-widget-text-editor\" data-id=\"4bb8681\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>a.\u00a0 As the provider of the SAAS Solution, Exly does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any Creator Services.<\/p><p>b.\u00a0 No joint venture, partnership, employment, or agency relationship exists between You and Exly as a result of this Agreement or Your use of the Exly SAAS Solution . These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties.\u00a0<\/p><p>c.\u00a0 To promote the Exly SAAS Solution and to increase the exposure of Creator Webpage and Creator Services it may be displayed on other websites, in applications, within emails, and in online and offline advertisements for the sole purpose of promotion of the Creator Webpage .<\/p><p>d.\u00a0 To assist Creators who speak different languages, Creator Webpage and\/Creator Services may be translated, in whole or in part, into other languages. Exly cannot guarantee the accuracy or quality of such translations and Creators are responsible for reviewing and verifying the accuracy of such translations. The SAAS Solution may contain translations powered by Google. Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties for merchantability, fitness for a particular purpose and noninfringement.\u00a0<\/p><p>e.\u00a0 If You access or download the Application from the Apple App Store, You agree to Apple&#8217;s Licensed Application End User License Agreement. Some areas of the SAAS Solution implement Google Maps\/Earth mapping services, including Google Maps API(s). Your use of Google Maps\/Earth is subject to the Google Maps\/Google Earth Additional Terms of Service.<\/p><p>f.\u00a0 \u00a0The access to or use of certain areas and features of the SAAS Solution may be subject to separate policies, standards or guidelines, or may require that you accept additional terms and conditions. If there is a conflict between these Terms and terms and conditions applicable to a specific area or feature of the SAAS Solution, the latter terms and conditions will take precedence with respect to Your access to or use of that area or feature, unless specified otherwise.<\/p><p>g.\u00a0 \u00a0You agree that You shall not access the SAAS Solution by any other means other than through the interfaces that are provided by the Company.<\/p><p>h.\u00a0 You agree that You shall not acquire, copy, or monitor any portion of the SAAS Solution in any way to reproduce or circumvent the navigational structure or presentation of the SAAS Solution, to obtain or attempt to obtain any materials, documents, or information through any means not specifically made available through the SAAS Solution.<\/p><p>i.\u00a0 \u00a0You agree that You shall not attempt to reverse engineer, de-encrypt, or otherwise derive the design, internal logic, structure or inner workings (including algorithms and source code) of the SAAS Solution, any other software, products, models, prototypes, or other items provided by the Company. \u00a0<\/p><p>j.\u00a0 \u00a0You agree that You shall not use any deep link, robot, spider or other automatic device or methodology, or any similar or equivalent manual process, to access, acquire, download, copy or monitor the SAAS Solution or any part thereof, or obtain any content through means not specifically made available through the SAAS Solution.<\/p><p>k.\u00a0 \u00a0You agree that You shall not breach any provisions of the Agreement or violate any provisions of applicable law.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2e943f1 elementor-widget elementor-widget-text-editor\" data-id=\"2e943f1\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p><strong><b><span lang=\"EN-US\">4<\/span><\/b><b><span lang=\"EN-US\">. \u00a0\u00a0<u>CODE OF CONDUCT<\/u><\/span><\/b><\/strong><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c4c78ef elementor-widget elementor-widget-text-editor\" data-id=\"c4c78ef\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p style=\"font-weight: 400;\"><span lang=\"EN-US\">You are solely responsible for compliance with any and all laws, rules, regulations, and Tax obligations that may apply to Your use of the\u00a0<\/span><span lang=\"EN-US\">SAAS Solution. Creator shall not host, display, upload, modify, publish, transmit, store, update or share any information that:<\/span><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a0d886d elementor-widget elementor-widget-text-editor\" data-id=\"a0d886d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>a.\u00a0 \u00a0 \u00a0belongs to another person and to which You do not have any right to;<\/p><p>b.\u00a0 \u00a0 is defamatory, obscene, pornographic, pedophilic, invasive of another&#8217;s privacy, including bodily privacy, insulting or harassing on the basis of gender, libelous, racially or ethnically objectionable, relating or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force;<\/p><p>c.\u00a0 \u00a0 is harmful to child;<\/p><p>d.\u00a0 \u00a0 infringes any patent, trademark, copyright or other proprietary rights;<\/p><p>e.\u00a0 \u00a0 violates any law for the time being in force;<\/p><p>f.\u00a0 \u00a0 \u00a0deceives or misleads the addressee about the origin of such messages or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact;<\/p><p>g.\u00a0 \u00a0 \u00a0impersonates another person;<\/p><p>h.\u00a0 \u00a0 \u00a0threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other nation;<\/p><p>i.\u00a0 \u00a0 \u00a0contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;<\/p><p>j.\u00a0 \u00a0 \u00a0is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person;<\/p><p>k.\u00a0 \u00a0 If any Creator feels that any User you interact with, online, is acting or has acted inappropriately, including but not limited to anyone who<\/p><p>(i) engages in offensive, violent or sexually inappropriate behaviour,<\/p><p>(ii) you suspect of stealing from You, or<\/p><p>(iii) engages in any other disturbing conduct, You should immediately report such person to the appropriate authorities and then to Exly by contacting us with Your police station and report number (if available); provided that Your report will not obligate us to take any action beyond that required by law (if any) or cause us to incur any liability to You;<\/p><p><span style=\"background-color: transparent;\">l.\u00a0 \u00a0 \u00a0A Creator\u00a0may not to any such act which may\u00a0for prejudicially affect the\u00a0SAAS Solution, including, but not limited to, recruiting or otherwise solicit\u00a0anyone\u00a0to join third-party services, applications or web based\u00a0SAAS Solution, without our prior written approval;<\/span><\/p><p><span style=\"background-color: transparent;\">m.\u00a0 \u00a0 You shall not use the\u00a0SAAS Solution\u00a0to request, make or accept a booking independent of the\u00a0SAAS Solution, to circumvent any\u00a0Exly\u00a0Fees; and<\/span><\/p><p><span style=\"background-color: transparent;\">n.\u00a0 \u00a0 \u00a0You shall not request, accept or make any payment for any fee relating to the bookings made for Creator Services outside of the\u00a0SAAS Solution\u00a0where Exly\u00a0Fee as defined is based on the transaction price of the creator service\u00a0. If you do so, you acknowledge and agree that you:<\/span><\/p><p>\u00a0i.\u00a0 \u00a0 would be in breach of these Terms;<\/p><p>\u00a0ii.\u00a0 \u00a0accept all risks and responsibility for such payment, and<\/p><p style=\"font-weight: 400;\">\u00a0iii.\u00a0 hold Exly harmless from any liability for such payment.<\/p><p style=\"font-weight: 400;\">iv.\u00a0 \u00a0Exly would have a right to recover such amounts along with interest at SBI PLR<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-27f58a6 elementor-widget elementor-widget-text-editor\" data-id=\"27f58a6\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p><strong><b><span lang=\"EN-US\">5<\/span><\/b><b><span lang=\"EN-US\">. \u00a0<u>LINKS AND INTEGRATIONS TO THIRD PARTY SITES<\/u><\/span><\/b><\/strong><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ceceff9 elementor-widget elementor-widget-text-editor\" data-id=\"ceceff9\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p style=\"font-weight: 400;\">The\u00a0SAAS Solution\u00a0may contain links to\/ integrations with third-party websites\u00a0or resources (&#8220;<strong>Third-Party Services<\/strong>&#8220;). Such Third-Party Services may be subject to different terms and conditions and privacy practices.\u00a0<\/p><p style=\"font-weight: 400;\">Exly\u00a0is not responsible or liable for the availability or accuracy of such Third- Party Services, or the content, products, or services available from such Third-Party Services. Links to such Third-Party Services are not an endorsement by\u00a0Exly\u00a0of such Third-Party Services.<\/p><p style=\"font-weight: 400;\">The Creator agrees to abide by all the terms and conditions of such third party sites and indemnifies Exly for any loss caused by breach if any, whether intentional or unintentional, by any of actions of the Creators or Members.<\/p><p style=\"font-weight: 400;\">The SAAS Solutions contains Integration with multiple gateways\u00a0which may entail Payment Processing Errors\/Lead times. The Creator acknowledges, holds harmless and allows Exly to take steps to rectify any payment processing errors that Exly may have become aware of. The Creator agrees that incase of any dispute with the Member the Creator shall be solely liable for the same.<\/p><p>\u00a0 \u00a0 i.\u00a0 \u00a0As a Creator You are solely responsible for determining your obligations to report, collect, remit or include in your fee any applicable VAT or other indirect sales taxes, or income taxes (&#8220;Taxes&#8221;).\u00a0<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-57038b0 elementor-widget elementor-widget-text-editor\" data-id=\"57038b0\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p><strong><b><span lang=\"EN-US\">8<\/span><\/b><b><span lang=\"EN-US\">.\u00a0 <u>EXLY FEES &amp; APPLICABLE TAXES<\/u><\/span><\/b><\/strong><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-900f7cb elementor-widget elementor-widget-text-editor\" data-id=\"900f7cb\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>a.\u00a0 \u00a0The Creator shall pay to the Company fees for the SAAS solution and shall abide by all the obligations, terms and conditions of this Agreement. The Fee charged will be a minimum of 5% of transactions made by the Creator through the SAAS Solution. In the event the creator has opted for a monthly SAAS subscription the amount of the Subscription as agreed by both the Party to this agreement.<\/p><p>b.\u00a0 \u00a0 The Creator agrees that the Company shall charge an Internet Handling Fee along with applicable GST and other governmental charges and taxes on listing price which may be, at the discretion of the Creator , either charged and collected from the user of Creator&#8217;s Service or from the Creator. The Internet Handling Fee between 3%-5% on domestic transactions and 7%-10% on International Transactions (Transactions where an International Debit card\/ credit card\/ International Payment Gateway has been used) may be charged.<\/p><p>c.\u00a0 \u00a0 The Creator agrees that when Deemed necessary for the facilitation of the Creator business the Company may collect the amount on behalf of the Creator. The Company may set off any amount payable to the Creator by the Company against any amount receivable from the Creator.<\/p><p>d.\u00a0 \u00a0 \u00a0Both the parties agree to discharge their respective part of the tax obligation arising out of the transaction. Unless otherwise specified in the Agreement, the creator shall bear all tax liabilities, duties, Govt. levies etc. including GST and customs duty, Corporate and personnel taxes levied or imposed from time to time on the Creator on account of payments received by it from his customers. It shall be the responsibility of the creators to submit to the concerned authorities, the returns and all other concerned documents required for this purpose and to comply in all respects with the requirements of the laws in this regard, in time. In the event that any obligation, demand, adjudication, or any other financial outgo arises to the Company on account of failure on the part of the Creator to fulfill its obligation under any law in force the Creators indemnifies the Company against any cost, interest, liability, damages or any financial outgo by any name whatsoever and whether caused directly or indirectly by the action of the party or any other third party.<\/p><p>e.\u00a0 \u00a0 Tax regulations may require us to collect appropriate Tax information from Creators, or to withhold Taxes from Payouts to Creators, or both. You acknowledge and agree that the SAAS Solution and Exly Content, including all associated intellectual property rights, are the exclusive property of Exly and\/or its licensors or authorizing third-parties. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the SAAS Solution, Exly Content. All trademarks, service marks, logos, trade names, and any other source identifiers of Exly used on or in connection with the SAAS Solution and Exly Content are trademarks or registered trademarks of Exly in India and abroad. Trademarks, service marks, logos, trade names and any other proprietary designations of third parties used on or in connection with the SAAS Solution, Exly Content, and\/or Collective Content are used for identification purposes only and may be the property of their respective owners.\u00a0<\/p><p>c.\u00a0 You will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the SAAS Solution or Collective Content, except to the extent you are the legal owner of certain Creator Content or as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Exly or its licensors, except for the licenses and rights expressly granted in these Terms.\u00a0<\/p><p>d.\u00a0 Subject to Your compliance with these Terms, Exly grants you a limited, non-exclusive, non- sublicensable, revocable, non-transferable license to (i) download and use the Application on your personal device(s); and (ii) access and view any Exly Content made available on or through the SAAS Solution and accessible to You, solely for Your personal and non-commercial use.\u00a0<\/p><p>e.\u00a0 \u00a0By creating, uploading, posting, sending, receiving, storing, or otherwise making available any Creator Content on or through the \u00a0SAAS Solution, You grant to Exly a non-exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sub-licensable and transferable license to such Creator Content to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such Creator Content to provide and\/or promote the \u00a0SAAS Solution, in any media or . Unless You provide specific consent, Exly does not claim any ownership rights in any Creator Content and nothing in these Terms will be deemed to restrict any rights that You may have to use or exploit your Creator Content.<\/p><p>f.\u00a0 \u00a0Exly may offer Creators the option of having professional photographers take photographs or videos of their Creator Services, which are made available by the photographer to Creators to include in their Creator Webpage. The Creator is responsible for ensuring that the \u00a0Creator Service is accurately represented in the Image. You acknowledge and agree that Exly shall have the right to use any Image in advertising, marketing and\/or any other business purposes in any media or, whether in relation to your Creator Services or otherwise, without further notice or compensation to you. Where Exly is not the exclusive owner of an Image, by using such Image on Creator Webpage, you grant to Exly an exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sub-licensable and transferable license to use such Images for advertising, marketing and\/or any other business purposes in any media or , whether in relation to your Creator Services or otherwise, without further notice or compensation to You.<\/p><p>g.\u00a0 You are solely responsible for all Creator Content that you make available on the Creator Webpage. Except for our obligations to pay amounts to applicable Creators pursuant to these Terms or an approved payment request, in no event will\u00a0Exly&#8217;s aggregate liability arising out of or in connection with these Terms and your use of the \u00a0<\/span><span lang=\"EN-US\">SAAS Solution\u00a0including, but not limited to, from your publishing of any Creator Service via the Creator Webpage, or interactions with any other Members, the amounts paid by\u00a0<\/span><span lang=\"EN-US\">Exly\u00a0to you in the twelve (12) month period prior to the event giving rise to the liability or one hundred U.S. dollars (US$100), if no such payments have been made, as applicable.
